Independent Contractor Agreement

Effective Date: January 1, 2026 | Plumza Inc

This Independent Contractor Agreement ("Agreement") is entered into between Plumza Inc ("Company") and the plumbing professional who registers on the Plumza platform ("Contractor"). By creating an account and checking the agreement box during registration, Contractor agrees to be bound by the terms of this Agreement.

1. Independent Contractor Relationship

Contractor is an independent contractor and not an employee, partner, agent, or joint venturer of Plumza Inc. Contractor has the sole right to control and direct the means, manner, and method by which plumbing services are performed. Plumza Inc has no right to control or direct such work other than the result to be accomplished.

2. Services

Contractor agrees to provide licensed plumbing services to customers who book through the Plumza platform. Contractor may accept or decline any job request at their sole discretion. Contractor is responsible for performing all services in a professional, workmanlike manner in compliance with all applicable Massachusetts laws and regulations.

4. Platform Fee

In exchange for access to the Plumza platform and customer leads, Contractor acknowledges that Plumza Inc charges a dispatch fee of $149 per completed job booking. This fee is collected from the customer at the time of booking. Contractor and customer may negotiate additional labor and materials costs directly. Plumza Inc is not responsible for collecting additional compensation on behalf of the Contractor.

5. Taxes

Contractor is solely responsible for all federal, state, and local taxes on compensation received through the Plumza platform. Plumza Inc will not withhold any taxes on Contractor behalf. Contractor agrees to indemnify and hold harmless Plumza Inc from any claims, liabilities, or expenses relating to Contractor tax obligations.

6. Insurance

Contractor is solely responsible for maintaining adequate general liability insurance and any other insurance required to perform plumbing services in Massachusetts. Plumza Inc assumes no liability for Contractor work, accidents, injuries, or property damage arising from services performed through the platform.

7. Indemnification

Contractor agrees to indemnify, defend, and hold harmless Plumza Inc and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys fees) arising out of or related to: (a) Contractor performance of services; (b) any breach of this Agreement; (c) Contractor violation of any applicable law or regulation; or (d) any negligent or wrongful act or omission by Contractor.

Either party may terminate this Agreement at any time with or without cause. Plumza Inc reserves the right to suspend or terminate Contractor platform access immediately for violation of this Agreement, license expiration, customer complaints, or any conduct deemed harmful to the Plumza platform or its customers.

10. Limitation of Liability

Plumza Inc shall not be liable to Contractor for any indirect, incidental, special, consequential, or punitive damages. Plumza Inc total liability to Contractor for any claims arising under this Agreement shall not exceed the total fees paid to Contractor in the three months preceding the claim.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts. Any disputes arising under this Agreement shall be resolved in the courts of Massachusetts.

12. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings. Plumza Inc reserves the right to update this Agreement at any time with notice to Contractor via email or platform notification.
